Terms
Last updated 23 October 2026
These terms are between Hardcode Consulting Private Limited, a company registered in India (we, us), and the company that creates an account on Determesh (you). The person who creates the account confirms they may agree to them for that company.
What Determesh is
Determesh connects the channels your users talk on (Telegram, email and an API) with your own systems (documents, APIs, code and databases), and answers your users from them. An AI coordinates: it chooses which of your systems to ask and puts what they return into words. Your account belongs to the region you sign up in, and is served from there.
Your account
Keep your sign-in details and API keys safe; what is done with them is your responsibility. Tell us at once if you think someone else has them.
Your data and your systems
Your data is yours. You let us store and process it to run Determesh for you, as the privacy policy describes, and for nothing else.
You are responsible for having the right to put it in, for telling your users that their conversations are handled this way, for the access rules you write, and for what your own systems return. We call your systems only as you have set them up.
The AI's answers
Answers come from your systems and documents, and are checked before they are sent, but the AI can still misunderstand a question or put an answer imperfectly. Do not rely on it alone where a mistake could cause harm, such as medical, legal or financial decisions, without a person checking. You remain responsible for the decisions you and your users make.
Acceptable use
Do not use Determesh for anything unlawful, to send messages people did not ask for, to harass or deceive anyone, or to try to get around its security or reach another company's data. Do not copy or take apart the service. Determesh blocks users who keep pushing it off its purpose, and we may suspend an account that breaks these rules.
Fees
You pay the monthly fee of your plan and, beyond what the plan includes, for what you use: actions, AI usage and emails, at the prices of your region's price list. Charges are taken from your account's balance, which may go below zero down to the limit in your region's price list (100 below zero today). Below that limit new messages stop until you top up; work already running finishes. The monthly fee is taken whether or not you have credit. If your balance stays below the limit for six months, we email you each month and then delete your company as described below, with the usual 30 days in which a top-up above the limit keeps it. Taxes, such as GST, are added where they apply. We will tell you by email at least 30 days before a price you are paying goes up.
Payments are not refundable. This covers plan fees and top-ups alike. A balance you have not used is not refunded or paid out, including when your company is deleted, your account is suspended or these terms end.
Suspension
We may suspend an account that breaks these terms, does not pay, or puts the service or other companies at risk. We will tell you why, and lift it once the reason is gone.
Ending it
You can delete your company from the panel at any time. Deletion waits 30 days and can be cancelled in that time; after that your data is removed, as the privacy policy describes. We may end these terms if you break them seriously, or otherwise with 30 days' notice.
Availability
We work to keep Determesh running, but do not promise that it will always be available or free of errors, unless we have agreed a service level with you in writing.
Liability
Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be limited.
Otherwise, our total liability arising from Determesh is limited to the fees you paid us in the twelve months before the claim. We are not liable for loss of profit, business, data, or any indirect or consequential loss.
Changes
We may change these terms. Where the change is material, the date at the top changes and we tell you by email before it applies. Continuing to use Determesh after that is acceptance.
Law and disputes
These terms are governed by the laws of India.
Any dispute should first be raised with us directly. Failing resolution, it is to be referred to arbitration by a single arbitrator under the Arbitration and Conciliation Act, 1996, seated in Kolkata and conducted in English. The courts at Kolkata, West Bengal have exclusive jurisdiction over matters not subject to arbitration.
